1. Legal Jurisdiction
All legal matters, disputes, or claims arising from business dealings with Auxsyon Tech Pvt Ltd shall be exclusively governed and interpreted in accordance with the laws of the Republic of India. Any disputes shall be settled in the competent courts located in Chennai, Tamil Nadu. This policy ensures that our legal obligations are consistent with the Indian Contract Act, 1872 and Code of Civil Procedure, 1908, thereby safeguarding both the company and its clients in legal procedures.
2. Governing Law
All contractual relationships are governed by the Indian Contract Act, 1872. Our digital and online service transactions comply with the Information Technology Act, 2000. This includes legal recognition of electronic records, digital signatures, cybersecurity provisions, and other compliance measures related to e-commerce operations in India.
3. Non-Refund Policy
Once services have begun, or any digital product or web component has been delivered, all associated payments are final and strictly non-refundable. This policy is enforced to prevent misuse of our services and ensures that resource allocation, design, and technical work invested is rightfully compensated. The Consumer Protection (E-Commerce) Rules, 2020 under the Ministry of Consumer Affairs supports this approach for service-based and digital product businesses.
4. Cancellation Policy
Orders or service requests can only be cancelled prior to the commencement of project execution. Cancellation requests must be communicated in writing. Once confirmation is received via any digital communication medium (such as WhatsApp, email, or signed document), cancellation will no longer be entertained. If the company is unable to deliver due to internal capacity issues, a full refund shall be made within 7 business days, as per Reserve Bank of India’s consumer refund policies and IT Act standards.
5. Client Data Security Policy
We maintain strict confidentiality of all client information in compliance with the Digital Personal Data Protection (DPDP) Act, 2023. Sensitive data is encrypted using industry-grade standards and stored securely. Weekly backups are performed and stored off-site. Access to such data is restricted to authorized technical personnel. No data is sold, shared, or outsourced to any third-party entities without prior written consent.
6. Employee Safety and Workplace Conduct Policy
Auxsyon Tech Pvt Ltd enforces zero tolerance for harassment or discrimination. Our internal team operates under the guidelines of the Sexual Harassment of Women at Workplace (Prevention, Prohibition and Redressal) Act, 2013. Employees are also trained on respectful communication and workplace conduct. Any form of client abuse or threats, whether verbal or written, will lead to immediate service termination and legal notice.
7. Cybersecurity Policy
We adopt advanced cybersecurity protocols including SSL, firewalls, secured VPN access, malware scanning, and periodic penetration testing. All client-facing portals are tested for XSS, SQL injection, and other vulnerabilities. In case of a breach, we comply with Indian CERT-IN breach reporting mandates and inform affected clients within 48 hours, while activating disaster recovery procedures.
8. Intellectual Property Policy
All source code, design elements, digital assets, and intellectual materials produced during project execution remain the property of Auxsyon Tech Pvt Ltd unless explicitly transferred in writing. Clients are granted end-use licenses and access rights as defined in the project contract. This aligns with the Indian Copyright Act, 1957 and ensures that developers' rights are preserved.
9. Copyright Liability of Client
Clients must verify ownership or usage rights for all content shared with us (such as images, videos, brand logos, and documents). Auxsyon Tech Pvt Ltd disclaims any responsibility for intellectual property disputes caused by third-party content submitted by the client. The client agrees to indemnify the company against any such claims.
10-50. Extended Safety, Operational, and Financial Policies
To ensure smooth business functioning and maximum safety, the following comprehensive policies are in place. Each policy is crafted to support legal, financial, operational, technical, and reputational security for both the client and Auxsyon Tech Pvt Ltd:
- NDAs are enforced for all employees and clients to prevent unauthorized data sharing.
- Invoice terms are 7 working days post-issue; delays will incur interest of 1.5% per month.
- Delivery tracking, insurance, and signed confirmation is mandatory for physical goods.
- Post-deployment warranty period is 30 days covering critical bugs and backend errors.
- All project deliverables and timelines are documented in the SOW (Scope of Work) agreement.
- Monthly cyber audits are conducted to identify insider threats and system vulnerabilities.
- All third-party libraries used are license-verified and declared in the technical documentation.
- Clients or vendors poaching Auxsyon employees will be subject to Rs. 5,00,000 penalty per case.
- UPI, NEFT, IMPS transfers are accepted. Cash above ₹10,000 is not accepted as per IT rules.
- Post-handover revisions or change requests are billable at ₹1000/hour unless prepaid.
- Only written instructions via authorized email threads are valid for implementation.
- API usage will be limited by API keys and governed by our Terms of Integration SLA.
- One-year free domain and hosting is applicable for premium website packages only.
- Written 15-day notice is required from either side for voluntary service termination.
- Projects delayed due to client unresponsiveness beyond 60 days will be archived without refund.
- Repeated abusive language from clients will be blacklisted and reported to authorities.
- Clients are responsible for final UAT (User Acceptance Testing); we offer 1 free testing round.
- Disputes must be addressed in writing and resolved through arbitration before legal action.
- Client usage of platforms built by us must adhere to TOS in our documentation.
- Scope creep beyond 10% of the original plan will be treated as a new phase and re-estimated.
- Late delivery caused by national holidays or natural calamities is exempted from SLA penalties.
- All backups are encrypted using AES-256 and stored on geo-redundant cloud infrastructure.
- Employees use MFA (Multi-Factor Authentication) to access internal databases and tools.
- All project repositories are hosted on Git repositories with access logs for accountability.
- Auxsyon shall not be liable for third-party platform downtimes (e.g., payment gateways, APIs).
- Each service has defined SLAs (Service Level Agreements) based on industry standards.
- All CRM and client communication are archived for 12 months for compliance review.
- Clients are advised not to share passwords or credentials with third parties.
- Auxsyon reserves the right to use generic, non-sensitive visuals for portfolio marketing.
- Penetration testing is offered as an optional, paid service post-deployment.
- Major issues caused by unsupported browsers or OS are beyond our scope unless specified.
- Any payment dispute must be raised within 7 days of invoice issue for reconciliation.
- Work logs, hours, and productivity sheets will be shared on demand if retainer contracts exist.
- Auxsyon may terminate the contract if the client violates applicable Indian laws or engages in fraud.
- Use of project code for illegal activities results in immediate deactivation and legal filing.
- All communications are subject to professional and respectful tone, regardless of dispute.
- Client support response time is 24-48 hours on business days.
- Auxsyon reserves the right to update policies with 15-day advance email notification.
